In an OnBoard Webinar corporate advisors Max Franchitto & Tamara Barr discussed strategies to ensure high efficiency in the boardroom. They discussed ways to increase engagement and encourage a broad range of perspectives and skills. They also discussed ways to optimize director processes and enhance individual director performance.

Some boardroom dynamics are toxic to the capacity of a board to exercise democratic governance. For instance, a disproportionate desire to find consensus and the lack of attention to critical thinking can result in unproductive discussions and groupthink that hinder the quality of decision-making. Additionally, the tendency to dismiss an argument without having a thorough understanding of its foundation could cause distrust and hinder a board’s effectiveness.

To avoid these problems, boards must engage in open and honest dialogue with all directors and give them an opportunity to share their opinions and perspectives. Boards can accomplish this by encouraging constructive and informal director communications between meetings, providing opportunities for directors to meet common interests outside of the boardroom, and by including “hang time” in agendas for meetings so that newer members can become acquainted with their colleagues.
